1Introduction and Acceptance
Gravitas (“Gravitas”, the “Platform”, the “Services”) is a product of Alphaquest Technovations Private Limited (“Alphaquest”, the “Company”, “we”, “us”, or “our”), a company incorporated under the laws of India.
Registered office: WEWORK OBEROI COMMERZ II, 20TH FLOOR CTS 95 HD-338, Goregaon East, Mumbai- 400063, Maharashtra, India.
These Terms & Conditions (the “Terms”) are a binding agreement between you (the “User”, “you”) and the Company. They govern your access to and use of the website at gravitas.trade, the web application, and every feature, tool, data feed and automated function offered through them.
By creating an account, linking a Connected Account, or otherwise using the Services, you confirm that you have read, understood and agree to these Terms and to the Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.
2Definitions
“Bybit” means the digital asset exchange operated by Bybit and its affiliates, on which every Order placed through the Services is executed.
“Connected Account” means your own Bybit account, linked to the Services through API keys that you issue or authorise, and through which Orders are placed.
“Order” means an instruction to buy or sell one or more options contracts that the Services transmit to Bybit on your behalf.
“Strategy” means a combination of one or more options contracts that the Services assemble and describe, whether chosen by you in the Strategy Builder or built for you from your answers in the guided flows.
“Automated Feature” means any function that places or manages Orders without a confirmation from you at the moment of placement, including automatic take-profit and stop-loss exits and Copy Strategies.
“Copy Strategy” means a published Strategy whose Orders are placed in the Connected Accounts of Users who have subscribed to it, within the limits each User sets.
“Practice Environment” means a paper-trading or demo environment provided by Bybit in which Orders are simulated and no funds are at risk.
3Nature of the Services
The Services are a software interface. They translate your decisions into Orders, price and describe Strategies from live market data, and show you the maximum loss, maximum profit and other characteristics of a Strategy before you confirm it.
The Company is not an exchange, broker, dealer, custodian, wallet provider, investment adviser, portfolio manager or financial institution. It does not hold, receive, transmit or control your funds or digital assets at any time.
Every Order is executed by Bybit inside your Connected Account and is subject to Bybit’s own terms, rules, fees, margin requirements and risk controls. Bybit, not the Company, holds your funds, settles your contracts and determines the outcome of every trade.
The Company’s role ends when an Order is transmitted. Whether an Order fills, at what price, and whether a position is later closed, is determined by the market and by Bybit.
Nothing in the Services is a recommendation to buy or sell any contract. Article 10 sets out the limits of the information we provide.
4Eligibility and Restricted Use
You must be at least eighteen years of age, or the age of majority where you live if that is higher, and have the legal capacity to enter into a binding agreement. You confirm that you are when you create an account, and we do not create one without that confirmation.
You must hold a Bybit account in your own name that Bybit permits to trade options. Bybit performs identity verification; the Company does not.
You may use the Services only where trading in digital asset derivatives is lawful for you. It is your responsibility to know and comply with the laws of your jurisdiction, including tax obligations arising from your trading.
You may not use the Services if you are located in, or a resident or national of, a jurisdiction subject to comprehensive sanctions, or if you appear on any government list of prohibited or restricted persons.
The Company may refuse, restrict or terminate access to anyone at its discretion, including where it believes use of the Services would breach applicable law.
5Accounts and Connected Accounts
You sign in with a third-party identity provider. You are responsible for the security of that identity and for every action taken through your Gravitas account.
To place Orders you must link a Connected Account by providing Bybit API keys with trading permission, or by authorising the Company through Bybit’s own authorisation flow. Keys are encrypted at rest and used only to place and manage Orders and to read the state of your Connected Account, as described in the Privacy Policy.
You may disconnect a Connected Account at any time by replacing the keys in the Services or by revoking them at Bybit. Deleting your Gravitas account removes the keys from our systems; it does not by itself revoke them at Bybit, which you should do separately.
You are responsible for keeping your Connected Account funded and in good standing with Bybit. The Company is not responsible for Orders rejected because of insufficient margin, account restrictions or exchange rules.
You must not share your account, create accounts for others, or use more than one account to evade limits the Services apply.
6Orders and Execution
The Services transmit Orders as market orders that fill immediately or are cancelled. Prices shown before confirmation are drawn from the live order book at that moment and are estimates of the fill you would receive; the actual fill may differ.
Before showing you a contract the Services check that it has live bids and offers within limits we set. This reduces, but does not eliminate, the chance of a poor fill. Liquidity can disappear between the preview and the fill.
A multi-leg Strategy is transmitted as a batch. Some legs may fill while others do not. When that happens the Services tell you; it is your responsibility to review and, if you choose, close the resulting position.
The Services apply limits to the size and risk of an Order, and may decline to transmit an Order that exceeds them. These limits protect the Platform and are not a promise about the suitability of any Order below them.
Every Order is recorded by the Services before transmission and shown in your history, including Orders that were rejected or did not fill.
The Company does not guarantee that any Order will be transmitted, accepted, filled or filled at any particular price, and is not liable for delay or failure caused by Bybit, network conditions, or maintenance.
7Risk Disclosure
Options are speculative, leveraged instruments. Trading them can result in the loss of everything you commit, and in some cases more. You should not trade with money you cannot afford to lose. In particular:
Most short-dated options expire worthless. A bet that pays a multiple when it is right is, by construction, a bet that loses its whole stake most of the time it is wrong.
When you buy options, your maximum loss is the premium you paid plus fees. When you sell options, including as one leg of a Strategy, your loss can exceed the premium you received and is in some structures unlimited. The Services show this before confirmation; it is your responsibility to read it.
Digital asset prices are volatile and can move sharply, including between the preview of an Order and its fill, and at settlement.
Contracts settle on Bybit at times and on terms Bybit sets. A position may settle at a loss while you are not watching it.
Past performance of any Strategy, Copy Strategy, backtest or simulation is not a guide to future results.
The Services may be unavailable when you need them, and Bybit may halt trading, change contract specifications or liquidate positions under its own rules.
8Practice Environment
The Services may operate against a Practice Environment in which Orders are simulated. The Services display which environment is in use. It is your responsibility to check before placing an Order.
Results in a Practice Environment are not indicative of results with real funds. Fills, liquidity and settlement behave differently when money is at risk.
9Automated Features and Copy Strategies
By arming an automatic exit or subscribing to a Copy Strategy you instruct the Company to place Orders in your Connected Account, within the parameters you set, without a further confirmation from you at the moment each Order is placed. Each such Order is your Order.
Automated Features are provided on a best-efforts basis. They depend on our systems, on Bybit and on market conditions, and may fail to trigger, trigger late, or fill at a price different from the level you set.
A Copy Strategy is a rule set published by the Company or by a person it permits. Subscribing authorises every Order that rule set generates for you until you unsubscribe, subject to the allocation limit you set. The allocation limit caps what a Strategy may commit, not what you may lose.
Copy Strategies are not personalised advice and are not managed for you. They do not take account of your circumstances. You remain responsible for deciding whether to subscribe, for the limits you set, and for monitoring your Connected Account.
You may unsubscribe from a Copy Strategy or disarm an automatic exit at any time. Orders already transmitted cannot be recalled; positions already open remain yours to manage.
10No Financial Advice
Nothing on the Platform is investment, financial, legal or tax advice, or a recommendation, solicitation or offer to buy or sell any contract. The guided flows turn a view you already hold into a Strategy; they do not tell you what view to hold.
Figures such as maximum loss, maximum profit, breakeven levels, probability of profit and sensitivities are outputs of pricing models applied to live market data. They are estimates, can be wrong, and can change in an instant. The maximum loss shown for a Strategy that sells options is a model of the worst case, not a guarantee that your loss will stop there.
Market data shown in the Services comes from Bybit and other third parties and may be delayed, incomplete or inaccurate.
You are solely responsible for your trading decisions. If you are unsure whether trading options is appropriate for you, take independent advice before using the Services.
11Fees and Compensation
The Company does not currently charge you a fee for using the Services. It may introduce fees in future and will give notice through the Services before any fee applies to you.
Bybit charges its own trading, settlement and other fees on every Order. These are set and collected by Bybit and are shown in your Connected Account.
The Company participates in Bybit’s broker or referral programmes and may receive compensation from Bybit based on the trading activity of Connected Accounts linked through the Services. This compensation does not increase the fees you pay to Bybit.
12Acceptable Use
You agree not to:
use the Services for any unlawful purpose, or in a way that breaches Bybit’s terms or any applicable rule against market manipulation, abusive trading or insider dealing;
access the Services by any automated means other than a browser, scrape or bulk-download market data, or circumvent rate limits, risk limits or other controls the Services apply;
reverse engineer, copy, resell, sublicense or create derivative works of the Services or any part of them;
interfere with the operation or security of the Services, probe or test their vulnerabilities without written permission, or introduce malicious code;
impersonate any person, misrepresent your affiliation, or provide false information about your identity, location or eligibility.
13Intellectual Property
The Services, including their software, design, text, strategy logic, models and trademarks, are owned by the Company or its licensors and are protected by intellectual property laws. Subject to these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose.
Feedback you send us may be used by the Company without restriction or compensation.
Market data remains the property of Bybit and other providers and is licensed to you only for use within the Services.
14Availability, Changes and Suspension
The Company may change, suspend or discontinue any part of the Services at any time, with or without notice, including the contracts, coins, Strategies and Automated Features offered.
The Services may be interrupted for maintenance, by failures of third-party providers, or by events outside the Company’s control. The Company does not guarantee that the Services will be available, uninterrupted or error-free.
The Company may suspend or restrict your access, or decline to transmit Orders, where it reasonably believes that you have breached these Terms, that your use presents a risk to the Platform or to other Users, or that suspension is required by law.
15Disclaimer of Warranties
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted operation. The Company does not warrant that any Strategy will perform as described, that any figure shown is accurate, or that any Order will be executed.
16Limitation of Liability
To the fullest extent permitted by law, the Company and its directors, officers, employees and agents are not liable for any trading loss; for any loss of profits, revenue, data or opportunity; or for any indirect, incidental, special, consequential or punitive damages, arising out of or in connection with the Services, however caused and whether or not the Company was advised of the possibility.
Without limiting the foregoing, the Company is not liable for acts or omissions of Bybit or any other third party; for errors, delays or omissions in market data; for the failure of an Automated Feature to trigger or fill; for partial fills; or for any loss arising from your Connected Account, your API keys, or your own decisions.
To the extent liability cannot be excluded, the total liability of the Company to you for all claims in any twelve-month period shall not exceed the greater of the fees you paid to the Company in that period and INR 10,000.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud.
17Indemnity
You agree to indemnify and hold harmless the Company and its directors, officers, employees and agents from any claim, loss, liability, damage or expense, including reasonable legal fees, arising out of your use of the Services, your Orders, your breach of these Terms, or your breach of any law or of the rights of a third party.
18Termination
You may stop using the Services at any time and may delete your account from the settings page. Deletion removes your account, your stored API keys and your trade history from the Services. As the Digital Personal Data Protection Rules, 2025 require, a copy of the records of the preceding twelve months is kept apart from the Services for one year and then erased, as set out in the Privacy Policy.
The Company may suspend or terminate your access at any time for breach of these Terms or as described in Article 14.
Termination does not affect positions already open in your Connected Account, which remain yours and continue to be governed by Bybit’s terms. Orders already transmitted cannot be recalled. Articles 7, 10, 13, 15, 16, 17, 20 and 21 survive termination.
19Privacy
How the Company uses your personal data is set out, item by item, in the privacy notice you agree to when you create an account (gravitas.trade/privacy/notice), and in full in the Privacy Policy at gravitas.trade/privacy-policy. Terms defined there have the same meaning here. You can exercise your rights over your data, including access, correction, erasure, withdrawal of consent and nomination, through our Grievance Officer at gravitas.trade/privacy/grievance, and delete your account from Settings at any time.
20Changes to These Terms
The Company may amend these Terms from time to time. Material amendments will be indicated by an updated “Last Updated” date and, where practical, by notice through the Services. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not accept a change, stop using the Services and delete your account.
21Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra.
22General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Services and supersede all prior communications and proposals.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
The Company’s failure to enforce any provision is not a waiver of its right to do so later.
You may not assign or transfer these Terms. The Company may assign them to an affiliate or a successor to its business.
Notices to you may be given through the Services or to the email address associated with your account. Notices to the Company should be sent to legal@graviti.exchange.
Questions about these terms go to legal@graviti.exchange.
